DUTIES OF A COMPANY SECRETARY IN INDIA
- Statutory Duties:
- To ensure and maintain proper compliance record of the group companies
- To look after secretarial activities including but not limited to conducting Board and General Meetings, Shares Transactions, Preparing reports etc
- To maintain and update the statutory records and registers
- To overview accounts and audit process and certifying the financial statements
- To file various forms and returns with the Registrar of Companies
- Anciliary Duties:
- Directors’ Compliances with various Authorities and Companies
- Overview of Finance, Accounts and Audit Performance
- Closely work with Account, Finance and Taxation Department and appraise the HODs about the updates on the applicable provisions of the law.
- Negotiating the financial arrangement and preparing necessary documents as may be required.
- Solving Audit Queries and advising the Auditors on treatment of several accounting heads and nature thereof to best reflect the transactions and comply with the legal provisions
- Review of financial statements of all the group companies
- Regular compliances under the Airports Authority of India Act and Airports Economic Regulatory Authority Act.
- Compliances of a Foreign Subsidiary
- Regular reporting and compliance with the Reserve Bank of India as per the RBI Regulations.
- Statutory Registrations and Corporate Communication
- Commercial Functions, Projects and Strategic Initiatives:
- Looking after of commercial department for the air cargo and aviation businesses (Aviation business, two airlines, cargo and passenger, are being set up).
- From cost discovery to submitting bids for various services with the concerned authorities and following up thereto.
- Co-ordination with Project Team for effective completion of projects undertaken
- Legal functions:
- Drafting of various agreements, deeds, undertakings etc.
- Appearing in the Court (High Court) on behalf of the Company with respect to various corporate and commercial disputes and matters.
- Looking after Trade Marks matters
- Coordinating with and helping out the Lawyers appointed by the Company
- Matters relating to Stamp Duty, Loans, Guarantees etc.
